1. Agreement to these terms

Fox Chain O'Lakes Business Directory (the "Directory," "we," "us," or "our") is a local business directory published at https://foxchainolakes.directory covering the Fox Chain O'Lakes region of Lake and McHenry County, Illinois. The Directory is owned and operated by L. Lively Consulting.

By accessing the Directory, creating an account, claiming a listing, purchasing a paid placement, or submitting a review or other content, you agree to these Terms of Service (the "Terms"). If you do not agree, do not use the Directory.

If you are agreeing to these Terms on behalf of a business, you represent that you are authorized to bind that business, and "you" includes that business.

2. What the Directory is — and is not

The Directory is an editorial reference product. We compile, verify, organize, and publish information about businesses operating in the Fox Chain O'Lakes region so that people and software can find them.

  • A listing is not an endorsement, certification, recommendation, or warranty by us.
  • We do not vet the licensure, insurance, workmanship, safety, pricing, or legal compliance of any business listed.
  • Listing information is compiled from public sources and from business owners themselves. It may be incomplete, out of date, or incorrect. Verify anything that matters directlywith the business before you rely on it.
  • We are not a party to any transaction, contract, or dispute between you and a business you find through the Directory.

3. Eligibility and accounts

You must be at least 18 years old to create an account. You are responsible for the accuracy of your account information, for keeping your credentials confidential, and for all activity that occurs under your account. Tell us promptly at directories@lively-designs.com if you believe your account has been used without your authorization.

We may refuse, suspend, or terminate any account at our discretion, including for violations of these Terms.

4. Editorial (unclaimed) listings

Many listings are created by us from publicly available information without the business owner's involvement. If you are the owner or an authorized representative of a listed business:

  • You may correct it. Email directories@lively-designs.com with the listing URL and the corrected information. We aim to review correction requests within ten (10) business days.
  • You may claim it. See Section 5.
  • You may ask us to remove it. Email directories@lively-designs.com from an address associated with the business, or otherwise reasonably demonstrate your authority, and we will remove the listing. We may retain a record of the removal request.

We publish factual business information — name, address, phone, hours, category, website, and similar operational details — as a matter of legitimate editorial interest. We do not require a business's permission to list it, but we will honor a verified removal request.

5. Claiming a listing

Claiming a listing gives you the ability to edit its content. To claim a listing you must verify your authority to act for the business by a method we specify (for example, an email address at the business domain, a phone or postcard verification, or documentation).

When you claim a listing, you represent and warrant that:

  • you are the owner of the business or are authorized to act on its behalf;
  • the information you submit is accurate, current, and not misleading;
  • you hold every license, registration, permit, and insurance policy your business is legally required to hold, and will keep the listing consistent with them;
  • you have the right to submit every logo, photograph, description, and other material you upload, and that it does not infringe anyone's rights;
  • you will not use the listing to advertise a different business, to redirect traffic deceptively, or to publish content unrelated to the listed business.

We may reject, edit, suspend, unclaim, or remove any listing that we believe is inaccurate, misleading, abusive, duplicative, or in violation of these Terms. We may also revoke aclaim if verification later proves to be false.

6. Paid listings, featured placement, and subscriptions

We offer optional paid products, which may include featured or priority placement, enhanced listing content, category sponsorship, and advertising ("Paid Services"). The price, billing period, and specific benefits of a Paid Service are those presented to you at the time of purchase.

  • Placement. Paid placement affects where and how prominently a listing appears within the Directory. It does not affect, and we do not promise, any particular ranking in Google, Bing, an AI assistant, or any other third-party system.
  • No performance guarantee. We do not guarantee any number of views, clicks, calls, leads, customers, revenue, search ranking, or AI citation. Any figures we share are historical or illustrative, not commitments.
  • Editorial standards still apply. Paid Services do not exempt a listing from Sections 5, 7, or 8, and do not entitle you to publish content we consider inaccurate or abusive.
  • Changes. We may change the features, format, or price of Paid Services. A price change takes effect at your next renewal, and we will give you at least thirty (30) days' notice before it does.

7. Billing, renewal, refunds, and cancellation

  • Authorization. By purchasing a Paid Service you authorize us and our payment processor to charge your payment method for the stated fee plus any applicable taxes.
  • Automatic renewal. Subscriptions renew automatically for successive periods of the same length at the then-current price until you cancel. You may cancel at any time through your account or by emailing directories@lively-designs.com.
  • Effect of cancellation. Cancellation stops future renewals. Your Paid Service continues through the end of the period you have already paid for, and the listing then reverts to a standard listing.
  • Refunds. Fees are non-refundable except as stated here or as required by law. If you cancel a new subscription within fourteen (14) days of your first payment, we will refund that payment in full. If we materially fail to deliver a Paid Service and do not correct it within a reasonable time after you tell us, we will refund the affected period on a pro-rata basis.
  • Failed payments. If a payment fails, we may suspend the Paid Service and revert the listing to standard placement until payment succeeds.
  • Payment data. Payments are processed by a third-party payment processor. We do not store full payment card numbers.

8. Reviews and user-submitted content

"User Content" means anything you submit to the Directory — reviews, ratings, photographs, listing descriptions, replies, messages, and similar material.

Standards. You agree that your User Content will not:

  • be false, fabricated, or written about a business you have no genuine experience with;
  • be posted in exchange for payment, discounts, or other consideration, whether by you or by a business, without clearly disclosing that fact;
  • be posted by a business about itself or about a competitor, or by anyone acting on a business's behalf, without disclosure;
  • be unlawful, defamatory, harassing, threatening, obscene, hateful, or an invasion of privacy;
  • contain another person's personal information, or a customer's private details;
  • infringe any copyright, trademark, or other right;
  • contain malware, spam, or promotional content unrelated to the review.

Reviews are opinions. Reviews are the views of the people who write them, not of L. Lively Consulting. We do not adopt or verify them.

Moderation. We may — but are not obligated to — screen, edit, refuse, or remove any User Content for any reason, including violations of these standards. If your review is removed, you may contact directories@lively-designs.com.

License you grant us. You keep ownership of your User Content. You grant L. Lively Consulting a worldwide, non-exclusive, royalty-free, sublicensable, transferable license to host, store, reproduce, adapt, publish, translate, distribute, and display your User Content in connection with operating and promoting the Directory, including in structured data, syndicated feeds, and search or AI-assistant results. This license continues for material you have made public until you or we remove it, and survives to the extent needed for backups, legal records, and copies already distributed.

Your representations. You represent that you own or control all rights in your User Content and that publishing it will not violate anyone's rights or any law.

9. Acceptable use

You agree not to:

  • use the Directory for any unlawful, fraudulent, or deceptive purpose;
  • impersonate any person or business, or misrepresent your affiliation with one;
  • interfere with, overload, or attempt to disrupt the Directory or its infrastructure;
  • probe, scan, or test the vulnerability of the Directory, or breach any security or authentication measure;
  • harvest contact information for unsolicited email, calls, or text messages, or use information from the Directory in a way that violates anti-spam or telemarketing law;
  • use the Directory to build, populate, or enrich a competing directory or database;
  • remove, obscure, or alter any attribution, copyright, or proprietary notice.

10. Automated access, scraping, and AI training

We publish structured data because we want people, search engines, and AI assistants to read and cite the Directory. That permission has limits.

  • Permitted. Ordinary search engine and AI assistant crawling that respects our robots.txt, links to or cites the Directory as the source, and does not reproduce the Directory in substantial part.
  • Not permitted without our prior written consent. Bulk scraping, crawling, or automated extraction of listings; use of any automated system to copy the Directory's content, structure, or compilation in whole or in substantial part; use of Directory content as training, fine-tuning, or retrieval data for a machine learning model where the effect is to substitute for the Directory; and any redistribution, resale, or sublicensing of Directory content.
  • Our compilation is protected. The selection, verification, categorization, descriptions, and arrangement of listings are our original work, independent of the underlying factual data.

11. Intellectual property

The Directory — including its name, logo, design, text, category structure, editorial descriptions, and the compilation of listings — is owned by L. Lively Consulting and protected by copyright, trademark, and other laws. We grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Directory for your own personal or internal business purposes. All rights not expressly granted are reserved.

Business names, logos, and trademarks appearing in listings belong to their respective owners and are used to identify those businesses.

12. Copyright complaints

If you believe content on the Directory infringes your copyright, email directories@lively-designs.com with: your contact information; identification of the copyrighted work; the URL of the material you say is infringing; a statement that you have a good-faith belief the use is not authorized; a statement, under penalty of perjury, that your notice is accurate and that you are authorized to act for the copyright owner; and your physical or electronic signature. We will respond to valid notices, and we terminate repeat infringers.

13. Third-party links and businesses

The Directory links to third-party websites, phone numbers, and booking systems. We do not control them and are not responsible for their content, products, services, privacy practices, or conduct. Your dealings with any business you find through the Directory — including payment, delivery, warranties, and disputes — are solely between you and that business.

14. Disclaimers

THE DIRECTORY AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, L. LIVELY CONSULTING DISCLAIMS ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTY THAT THE DIRECTORY WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR THAT ANY LISTING INFORMATION IS ACCURATE, COMPLETE, OR CURRENT.

Some jurisdictions do not allow the exclusion of certain warranties, so parts of this section may not apply to you.

15. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, L. LIVELY CONSULTING AND ITS OWNERS, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO THE DIRECTORY, WHETHER BASED IN CONTRACT, TORT, OR ANY OTHER THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE DIRECTORY IN ANY TWELVE-MONTH PERIOD WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR PAID SERVICES DURING THAT PERIOD, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

Some jurisdictions do not allow these limitations, so parts of this section may not apply to you.

16. Indemnification

You agree to indemnify, defend, and hold harmless L. Lively Consulting and its owners, contractors, and agents from any claim, demand, loss, liability, or expense (including reasonable attorneys' fees) arising out of your use of the Directory, your User Content, your listing, your violation of these Terms, or your violation of any law or third-party right.

17. Suspension and termination

We may suspend or terminate your access, your account, or any listing at any time, with or without notice, including if we believe you have violated these Terms. You may stop using the Directory at any time. Sections 8 (license), 10, 11, 14, 15, 16, 18, and 19 survive termination.

18. Changes to the Directory and to these Terms

We may modify or discontinue the Directory or any feature at any time. We may also update these Terms; when we do, we will change the "Last updated" date above, and for material changes we will provide reasonable additional notice. Your continued use after the changes take effect means you accept the revised Terms.

19. Governing law and disputes

These Terms are governed by the laws of the State of Michigan, without regard to its conflict-of-laws rules. You and L. Lively Consulting agree to the exclusive jurisdiction and venue of the state and federal courts located in Muskegon County, Michigan, and each of us waives any objection to that venue.

Before filing anything, you agree to contact us at directories@lively-designs.com and attempt in good faith to resolve the dispute informally for at least thirty (30) days.

Any claim must be brought within one (1) year after it arises, or it is permanently barred, to the extent that limitation is enforceable where you live.

20. General

These Terms, together with the Privacy Policy, are the entire agreement between you and L. Lively Consulting regarding the Directory. If any provision is held unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms; we may assign them in connection with a sale or transfer of the Directory.
